Legal and Loan Processing Division


Chris Clayton is senior vice president and managing counsel of CoBank’s Legal and Loan Processing division, which is responsible for the drafting, negotiation and closing of internally-drafted loan, lease and collateral documentation, as well as the perfection, administration and maintenance of CoBank’s loan collateral. Legal and Loan Processing associates also partner with external counsel to prepare documentation on complex and syndicated loan and lease transactions. He is a member of the bank’s Senior Leadership Team and Business Practices Committee.

Mr. Clayton joined CoBank in 2010 after more than eight years as an associate, and later counsel, at the law firm of Bingham McCutchen in Washington, D.C., where he was a member of the firm’s Banking and Leveraged Finance and Financing Restructuring practice areas. He represented various financial institutions in finance and structured finance transactions, as well as in financial restructuring matters.

He has a bachelor’s degree in international affairs from the University of Colorado at Boulder and a juris doctor from American University’s Washington College of Law. Mr. Clayton is admitted to practice law in Colorado, Virginia and the District of Columbia, and is also a member of the American Bar Association.
